Anything that alters your registry record must be filed. Late filings cause fines.

  • Changing or adding a manager or director Including the powers that come with the role
  • Changing the corporate object The commonest one. Companies grow past what they registered to do.
  • Increasing or reducing capital
  • Transferring shares or partnership parts Including a partner leaving, and the approvals a SARL transfer needs

  1. Tell us what changed

    Send the company file or registry number and describe the change. We confirm what the registry needs and quote it.

  2. Resolutions drafted and signed

    We draft the partners' or shareholders' resolution and the amended articles. We send exact signing instructions. Most amendments need notarisation.

  3. Filed and reflected

    Filed at the Commercial Registry. Notified to the Ministry of Finance if the change affects your tax file. You get the updated extract.

The ones people actually ask.

Usually fixable. The registry record does not match reality. This becomes a problem when a bank, buyer or auditor looks. Late filings can attract penalties. Older ones sometimes need a sequence of resolutions to update the file. Tell us the whole history rather than the tidy version. It is easier to fix what we can see.

Yes. Most of this work is exactly that. We ask for the registry extract and the current articles first. What the file says and what people remember signing are not always the same.

That is a dispute rather than an amendment. It turns on the articles and on what happened. Worth asking before anything is filed. A contested transfer done badly is harder to undo than to get right.

Because a manager change and a capital restructure are not the same job. Each is a fixed quote once we see the file. This takes a day. Government and notary charges are passed through at cost with receipts.
