Keeping the company in good standing.
A company creates obligations whether or not it trades. Most are small. All are cheaper on time than late.
An annual retainer. We tell you what is due before it is due.
What a year looks like
Nothing here is difficult. It is just easy to miss.
The pattern is the same every year. It should not sit on your desk.
- Annual accounts prepared and signed off Coordinated with your auditor, or with one we introduce
- Ministry of Finance filings and the annual tax return
- The offshore lump-sum tax, where it applies LBP 50,000,000 a year, about $560, whatever the company earned
- VAT registration and periodic returns, where you are registered
- The annual general assembly, convened and minuted
- Registry formalities and the annual stamp
- Auditor reappointment when the mandate ends
- Answering your bank Banks periodically re-paper corporate clients and ask for current extracts and resolutions
Why bother
A dormant company is not a free company.
01
Obligations accrue anyway
A company that never traded still owes filings. The offshore lump-sum tax is due whether or not you issued an invoice.
02
Banks notice first
An out-of-date registry file is a common reason banks freeze corporate accounts or hold transfers.
03
It is cheapest to fix early
Bringing a file three years current takes a sequence of resolutions and penalties. Keeping it current takes an afternoon a year.
Questions
The ones people actually ask.
Yes. Dormancy does not suspend obligations. If the company genuinely has no future, closing it properly is usually cheaper than leaving it to accumulate. We can handle that.
No, and it does not replace one. Your auditor signs the accounts. Your accountant keeps the books. This is the legal layer around them: the assemblies, the resolutions and the registry. We make sure the three stay consistent.
Yes. Catching up is quoted separately from the retainer. The size of the job depends on how far back it goes. Send the registry extract and the last accounts you have. We will tell you where you stand.
Amendments, disputes, contract work and anything requiring a court. Those are quoted separately. The retainer covers the recurring calendar and the questions that come with it.
